VANCOUVER, BRITISH COLUMBIA--(Marketwired - Jan. 4, 2016) - The Pacific Road Resources Funds ("PRRF") announce that they have received 10,835,935 common shares ("Common Shares") in the capital of Luna Gold Corp. (the "Corporation") in satisfaction of interest owing by the Corporation to PRRF under the promissory notes previously issued by the Corporation to PRRF (the "Notes"). The Common Shares were issued based on the volume-weighted average trading price of the Common Shares on the Toronto Stock Exchange for the five trading days prior to December 31, 2015, being $0.04652 per Common Share.
When combined with the 8,379,002 Common Shares issued to PRRF in September 30, 2015 in satisfaction of interest owing under the Notes, PRRF has acquired an aggregate of 19,214,937 Common Shares, representing approximately 7% of the Common Shares.
When combined with the 100,000,000 Common Shares and Common Share purchase warrants to purchase 300,000,000 Common Shares previously acquired, PRRF holds an aggregate of 119,214,937 Common Shares and Common Share purchase warrants to purchase 300,000,000 Common Shares. The 119,214,937 Common Shares represent approximately 41.8% of the issued and outstanding Common Shares of the Corporation as of September 30, 2015. Assuming full exercise of the Series A Warrants and Series B Warrants, PRRF would hold 419,214,937 Common Shares, representing approximately 71.6% of the then issued and outstanding common shares of the Corporation.
PRRF has purchased the securities for investment purposes and may or may not purchase or sell securities of the Corporation, or exercise the Series A Warrants and/or Series B Warrants, in the future on the open market or in private transactions, depending on market conditions and other factors.
