PacificHealth Laboratories Announces Private Sale of Stock

MATAWAN, NJ--(Marketwire - May 12, 2011) - PacificHealth Laboratories, Inc. (OTCQB: PHLI), a nutrition technology company, announced today that they have completed a private placement of its common stock resulting in net proceeds to the Company of $620,000. The private placement was sold as 248,000 units with each unit representing ten shares of the Company's common stock at a purchase price of $0.25 per share, warrants to purchase five additional shares of common stock at $0.31 per share, and warrants to purchase one additional share of common stock at $0.38 per share. The President and CEO, Fred Duffner, as well as the Chairman of the Board, Dr. Robert Portman, and all other directors, Michael Cahr and Lee Feldman participated in the private placement. There were no fees or expenses associated with this placement. The 15-day trailing average was used as the placement value in pricing this offering.
