Pall Sells Distribution Rights to Commercial Aircraft Aftermarket in Western Hemisphere

EAST HILLS, N.Y.--(CCNMatthews - Nov 21, 2005) -

Pall Corporation (NYSE: PLL) announced today it has agreed to sell to Satair the exclusive distribution rights of its PAS division. The agreement gives Satair, one of the world's leading distributors of production and spare parts for aircraft, the inventory and exclusive rights to distribute Pall filters to the commercial aerospace aftermarket in North and South America. The approximately $27.5 million USD purchase price covers distribution rights, customer contracts and current inventory. Both companies expect the agreement will close before the end of the calendar year 2005.

The agreement is a broadening of the relationship with Satair, which distributes Pall filters to the commercial aerospace industry throughout Europe, the Middle East, Africa, Asia and the Pacific Rim. Pall is currently one of Satair's leading suppliers and following this new agreement will be Satair's largest supplier.

"This agreement enables Pall to consolidate and focus on the development and manufacturing of aircraft filtration and purification systems and disposables. It also provides our customers with enhanced supply and service," says Jim Western, President Pall Aerospace.

"This agreement is a perfect match for us as it provides a tremendous opportunity consistent with our strategy to grow our business in the Americas," says President & CEO of Satair, John Staer. "It enables us to advance the sale of Pall products and expand our operations, product portfolio and customer base to provide exceptional value and solutions that will benefit customers in the Americas and worldwide."
