Partners Real Estate Investment Trust Closes Public Offering

Partners Real Estate Investment Trust (the "REIT" or "Partners REIT") (TSX:PAR.UN)(TSX:PAR.DB)(TSX:PAR.DB.A) is pleased to announce that it has closed its previously announced offering (the "Offering") of $34,500,000 aggregate principal amount of 6.0% convertible unsecured subordinated debentures, on a bought deal basis, to a syndicate of underwriters led by National Bank Financial Inc., Scotiabank and Canaccord Genuity Corp., with National Bank Financial Inc. and Scotiabank acting as joint bookrunners, and included CIBC World Markets Inc., RBC Dominion Securities, TD Securities Inc., Macquarie Capital Markets Canada Ltd., Raymond James Ltd. and M Partners Inc.

The net proceeds to the REIT from the Offering, after deducting the underwriters' fee of $1,380,000 but before deducting the expenses of the Offering, were $33,120,000. Partners REIT will use the net proceeds from the Offering to repay existing debt, to fund future acquisitions and for general trust purposes.
