VANCOUVER, BRITISH COLUMBIA--(Marketwire - Nov. 16, 2012) - Pedro Resources Ltd. (TSX VENTURE:PED.H) ("Pedro" or the "Company") has arranged a non-brokered private placement (the "Placement") of up to $200,000 with Canadian investors. Pedro will issue up to 4,000,000 units (the "Units") at a price of $0.05 per Unit each Unit consisting of one common share and one-half of one common share purchase warrant; each whole warrant will entitle the holder thereof to purchase one common share of Pedro at a price of $0.10 each for a period of 12 months from the date of closing.
The net proceeds raised from the Placement will be used for general working capital purposes.
In connection with this placement and prior to this announcement Pedro filed a Form A Price Protection form with NEX. The private placement is subject to the approval of NEX.
Additionally, subject to exchange acceptance, a finder's fee equal to 7% of the gross proceeds placed by the efforts of certain finders will be paid in cash.
