Pinetree Capital Ltd. Acquires Securities of Mooncor Oil & Gas Corp.

TORONTO, CANADA--(Marketwired - April 2, 2014) - Pinetree Capital Ltd. (TSX:PNP), announces that on April 1, 2014, it acquired ownership of 10,000,000 common shares ("Common Shares") and 10,000,000 common share purchase warrants (the "Warrants") of Mooncor Oil & Gas Corp. ("Mooncor") representing approximately 11.8% of the total issued and outstanding common shares of Mooncor as of April 1, 2014. As a result of this transaction, Pinetree and its joint actors collectively held, as at April 1, 2014, an aggregate of 17,000,500 common shares of Mooncor, including the Common Shares, and the Warrants. Of these totals, Pinetree owns 16,500,500 common shares and the Warrants directly. In the event that the Warrants are fully exercised, the holdings of Pinetree and its joint actors represents a total of 27,000,500 common shares of Mooncor or approximately 15.9% of all issued and outstanding common shares as at April 1, 2014, calculated on a partially diluted basis assuming the exercise of the Warrants only. In the event that the Warrants are fully exercised, the direct holdings of Pinetree represents a total of 26,500,500 common shares of Mooncor, or approximately 15.6% of all issued and outstanding common shares as at April 1, 2014, calculated on a partially diluted basis assuming the exercise of the Warrants only.

These transactions were made for investment purposes and Pinetree and its joint actors could increase or decrease their investment in Mooncor depending on market conditions or any other relevant factor.
