Premier Holding Corp. Shareholder Letter From Chief Executive Officer Kevin Donovan

ALISO VIEJO, CA--(Marketwire - May 30, 2012) - Premier Holding Corp. (OTCBB: PRHL) (the "Company") announced today its Shareholder Letter from Kevin Donovan, chief executive officer and president of Premier Holding Corp., and for the Company's wholly owned subsidiary, WEPOWER Ecolutions Inc. ("WEPOWER"), an energy service company (ESCO) and integrator of clean-energy solutions, in meeting their strategic global initiatives. Since joining the board of directors of Premier Holding Corp. (PRHL.OB) and recently appointed as the new chief executive officer and president of the Company, PRHL has focused its resources, energy and efforts on growing the Company and shareholder value through its wholly owned subsidiary, WEPOWER Ecolutions Inc.

"I would like to take this opportunity to thank all of our PRHL shareholders for their investment and ongoing commitment to the Company with our new direction in green technology products and Ecolutions. It has truly been an exciting time for our Company. With the addition of our subsidiary WEPOWER Ecolutions, it has afforded us the ability to provide an attractive offering in the renewable energy, clean technology and commercial real estate markets. These offerings combine the ecology and the economy to provide 'Ecolutions' to our clients thus improving their overall bottom line with positive cash savings," said Donovan.

"The positive results of our sales activities and the accelerated pace of WEPOWER leads us to believe that its business offerings to our commercial clients of green technology products and Ecolutions has become, and will be, our primary focus. While the previous corporate initiatives of Premier Holding Corp. have slowed, the WEPOWER activity leads us to believe we could achieve levels of corporate growth that could exceed industry averages. One of the key reasons why I joined PRHL and WEPOWER was the potential of our innovative business model and WEPOWER Eco-system chief green officer program ("CGO") for mid-market capital (?) companies and global 1,000 brands. As Ecolutionists, we are focused on delivering 'Ecolutions,' that provide renewable energy production, energy efficiencies and costs savings for our clients.

"We added valuable people with vast experience to our board of directors and management team with our recent announcements of our two newest board members, Frank Schulte, 25-year pioneer and seasoned expert in the solar industry in Europe; Bobby Grisham, former EDS chief global sales officer and president of the Large Financial Institutions Strategic Business Unit for all EDS Banking and Securities Business; and Nancy Nguyen, board secretary, former Green Central Energy Solutions CEO and green building materials consultant, who was also appointed as president of WEPOWER Ecolutions Inc.

"We recently announced success in the sales, installation and servicing of our patented vertical axis wind turbines (VAWTs) Ecolutions. We have also announced positive savings results that we achieved by utilizing patented 'Active ES' lighting controls Ecolutions with clients such as Nestlé," Donovan continued. "The Nestlé Dreyer's Ice Cream division savings results have succeeded previous installations to clients, such as Disney, the City of Anaheim, Station Casinos and world-famous shopping center, South Coast Plaza in Costa Mesa, Calif. WEPOWER is currently working with one of the largest banking institutions in the U.S. that has over 5,000 locations. The bank requested a detailed pricing proposal, which WEPOWER recently delivered, and is currently under internal review by the bank for rooftop solar PV power systems, Active ES lighting controls Ecolutions and HVAC Ecolutions. The Company expects to implement these Ecolutions in exceeding the bank's energy savings goal of aggregate total of up to 25% percent over five years beginning 2012. Additionally, the bank has expressed a high degree of interest in financing the Company's Active ES lighting product in sales applications throughout the world in projects that are non-bank-related commercial accounts.

"WEPOWER Ecolutions also announced the launch of our complete lighting Ecolutions line that not only represents what we believe to be one of the most all-encompassing energy savings portfolios on the green market but combines high-quality, made-in-America products; extended warranties and technology interfaces with smart phones and smart pads for remote access control and monitoring that make easy adjustments on the fly. These lighting Ecolutions, which include intelligent skylights, LED lights and motion detector ballasts, provide ease of operation that maximize client energy savings," said Donovan. "This week, we're deploying teams to analyze and perform an energy audit for our product deployment into a 7-million-square-foot project of commercial property at Rochester Tech Park in N.Y. Last week, we deployed our energy audit teams on the rooftops and inside the film stages of one of the world's largest movie studios to assess their assets to include new renewable-energy production solar PV systems and energy efficient lighting Ecolutions. Furthermore, we have begun the process of analyzing the first of 400 commercial properties owned by a Los Angeles-based investment group and its partners for WEPOWER Ecolutions Green Building Products and renewable energy ecolutions."

"The reason for our accelerated early growth of our subsidiary, WEPOWER Ecolutions Inc., revolves around the strategic asset purchases the public company completed on Jan. 1, 2012; our seasoned management team and vast network of C-suite executives," said Donovan. "While the new assets of the Company were too conservatively written down by our auditors in Q1 2012, we strongly believe the inherent value and real value to our business is worth far more. These individual assets include: a network of over 200 dealers, a Customer Relationship Management database of hundreds of potential clients and an alliance with Nations Roof, 'one of the top five largest commercial roofing companies in the U.S.' which is comprised of 800 employees, 200 salespersons, 17 locations and coast-to-coast service and installation within 48 hours, further highlighted by unlimited bonding. The alliance the Company received allows Nations Roof to earn interest in PRHL, based on Nations Roof's performance and additional purchase order commitments. The Nations Roof alliance has been transferred over to PRHL as part of the asset purchase of Green Central Holdings. Nations Roof has begun to process business opportunities with PRHL."

"Our strategic advisors, along with their partners and friends, have provided significant support by way of introductions to a commercial real estate holdings group in Los Angeles that owns resorts and spas in Southern California and a real estate portfolio which spans from California to Atlanta, including marquee properties on Hollywood Boulevard in Hollywood, Calif. These properties are being reviewed between the Companies for green building applications and Ecolution products," said Donovan. "One of our largest shareholders has just arranged a fee-sharing agreement with Illinois-based power seller, The Power Company. The Power Company provides customers with a choice of lowest cost or most strategic power provider for their business," Donovan continued. "With over 20 of the nation's largest power providers represented, The Power Company has generated significant energy and costs savings for many clients, all of which are potential referrals to PHRL and WEPOWER Ecolutions. In a few short weeks, we have been referred to millions of dollars of projects. Of course, all of these projects must be performed upon and be profitable, but this relationship has virtually eliminated prospecting for WEPOWER Ecolutions. Additionally, over the next few months, we look forward to expanding our current relationship with Best Buy. Please stay tuned -- I'm sure that you will be pleased with our many new developments. Our executive team is working hard to bring substantial value to our Shareholders. WEPOWER is improving the earth one building environment at a time with our Eco-system of combining ecology with the economy providing sustainable ecolutions. Thank you again for your continued support of our Company," Donovan concluded.
