Pretivm Announces Non-Brokered Private Placement

Pretium Resources Inc. (TSX:PVG) (NYSE:PVG) ("Pretivm" or the "Company") is pleased to announce that it has entered into a subscription agreement (the "Subscription Agreement") with Liberty Metals & Mining Holdings, LLC ("LMM"), a subsidiary of Boston-based Liberty Mutual Insurance. As a result of the public offering of 8,280,000 Pretivm common shares that closed on July 29, 2014, LMM has agreed to purchase common shares of Pretivm in order to maintain its pro rata interest in the Company in accordance with its participation rights under the subscription agreement dated April 22, 2013 between the Company and LMM.

The Subscription Agreement provides that, subject to certain conditions, LMM will subscribe for up to a maximum of 496,054 common shares of Pretivm (the "Purchased Shares") at a price per share of US$7.25 for gross proceeds of approximately US$3.5 million (the "Offering"). The Offering is scheduled to close on or about August 22, 2014, subject to the receipt of all necessary regulatory approvals including the approval of the Toronto Stock Exchange.

Pretivm intends to use the proceeds of the Offering to fund environmental and engineering activities at the Brucejack Project and general corporate purposes.

LMM is not permitted to trade the Purchased Shares for a period of four months plus one day from the closing of the Offering. The Purchased Shares described herein have not been, and will not be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States absent registration or an applicable exemption from the registration requirements of such Act.
