PRG Group Acquires Prime Communications

NEW CASTLE, DE -- (MARKET WIRE) -- December 21, 2006 -- PRG Group, Inc. (PINKSHEETS: PRGJ), a multinational total solutions provider, is pleased to announce the acquisition of Prime Communications, a privately owned retailer of Avaya products and services.

Avaya products and services include IP telephones using wideband audio technology, multi-vantage phone conferencing and collaboration, applications consulting and integration and network management. Prime's management and sales teams for these products will remain with the company, providing PRG with a strong addition to its own customer base and management teams in the sector of commercial communications solutions.

Among Prime's most valued customers are Universal Health Services in Arkansas and Las Vegas and St. Vincent Hospital in New York. The merger is expected to significantly boost company profitability in 2007, as PRG pursues additional similar acquisitions. Details will follow in future releases.

PRG financed the acquisition without cash expenditure or incurrence of debt. The company's owners transferred privately held restricted shares to Prime owners to make the Prime communications -- Avaya Gold Business Partner, a 100 percent wholly owned subsidiary of PRG Group, Inc.
