Primaris Retail REIT Announces the Exercise of the Over-Allotment Option Associated With Its Recently Completed Subscription Receipt Offering

TORONTO, ONTARIO--(Marketwire - June 16, 2011) -


Primaris Retail REIT (TSX:PMZ.UN)("Primaris") announced today that pursuant to the underwriting agreement dated May 27, 2011 between Primaris and a syndicate of underwriters co-led by RBC Capital Markets and CIBC World Markets Inc., with RBC Capital Markets acting as bookrunner, the underwriters have exercised in full their option to purchase 1,650,000 additional subscription receipts at a price of $20.60 per subscription receipt representing gross proceeds of $33,990,000. The closing of the over-allotment option will be completed on or about June 20, 2011.

The net proceeds from the offering will be used to pay a portion of the purchase price for the previously announced acquisition of five retail properties from Ivanhoe Cambridge (the "Acquisition") as well as the REIT's expenses with respect to the acquisition. The net proceeds of the subscription receipt offering over-allotment will be placed in escrow pending the closing (the "Acquisition Closing") of at least three of the five properties prior to August 15, 2011 (or earlier in certain circumstances) where the purchase price attributable to such properties represents at least 80% of the purchase price for the properties. If the Acquisition Closing does not occur prior to August 15, 2011 (or earlier in certain circumstances), each Subscription Receipt will entitle the holder thereof to receive an amount equal to the full offering price thereof and their pro rata share of interest thereon.
