Probe Resources Ltd. Announces Intention to Further Adjourn Shareholder Meeting

Probe Resources Ltd. ("Probe") (TSX VENTURE:PBR.H) - As previously announced, Probe adjourned its annual and special shareholders' meeting (the "Meeting") to Thursday April 5th, 2012, to be held at 2:30 p.m. (Calgary time), in the Viking A Room of The Petroleum Club, 319 - 5th Avenue S.W., Calgary, Alberta. The purpose of the Meeting, among other matters, is to consider a proposed plan of arrangement involving Probe and Rooster Probe GOM Oil & Gas Ltd. (the "Transaction"). Due to the fact that there may be pending potential changes to the terms of the Transaction, Probe proposes to seek a further adjournment of the Meeting until 2:30 p.m. (Calgary time) on Friday, April 20th, 2012. When the Meeting convenes on April 5th, 2012, management of Probe intends to introduce a motion to have the Meeting so adjourned. If the Meeting is adjourned, Probe will issue a further press release advising of that fact. Any anticipated material changes to the Transaction will be announced in a further press release.

If the Meeting is adjourned, the deadline for the deposit of proxies for the Meeting with Probe's transfer agent, Computershare Trust Company of Canada, 9th floor, 100 University Avenue, Toronto, ON M5J 2Y1, will be deemed to be extended to 4:00 p.m. (Calgary time) on the second last business day before the Meeting is reconvened.

A Probe shareholder who has submitted a proxy may revoke it by instrument in writing executed by the Probe shareholder or his attorney authorized in writing, or, if the Probe shareholder is a corporation, under its corporate seal and executed by a director, officer or attorney thereof duly authorized, and deposited either at the office of Computershare Trust Company of Canada, 9th floor, 100 University Avenue, Toronto, ON M5J 2Y1, on or before the last business day preceding the day of the Meeting or with the chairman of the Meeting prior to the commencement of the Meeting on the day of the Meeting, and upon such deposit the previous proxy is revoked.
