Prospect Energy Corporation Prices Public Offering of Common Stock

NEW YORK, NY -- (MARKET WIRE) -- December 15, 2006 -- Prospect Energy Corporation (NASDAQ: PSEC) ("Prospect") announced that it has entered into an agreement to sell 6,000,000 shares of common stock at $17.70 per share, raising $106,200,000 in gross proceeds. Prospect expects to use the net proceeds of this offering to repay outstanding indebtedness, to fund investments in portfolio companies and for general corporate purposes. Morgan Keegan & Company, Inc. is acting as the underwriter.

The offering is subject to customary closing conditions and the shares are expected to be delivered on December 20, 2006. Prospect has also granted the underwriter an option to purchase up to an additional 900,000 shares of common stock to cover over-allotments, if any.
