Prospero Announces Private Placement

VANCOUVER, BRITISH COLUMBIA--(Marketwired - Oct. 22, 2015) - Prospero Silver Corp. (TSX VENTURE:PSL) ("Prospero" or the "Company") is pleased to announce that it will undertake a non-brokered private placement of up to 4 million Units (the "Units") at a price of $0.075 per Unit, for gross proceeds of up to $300,000 (the "Offering"). Each Unit will consist of one common share (a "Share") of Prospero and one non-transferable share purchase warrant (a "Warrant") exercisable for a term of 5 years. Each Warrant will entitle the holder thereof to purchase one Share at an exercise price of $0.12 per Share. If at any time from four months and one day after the closing of the Offering, the volume weighted average trading price of Prospero's common shares on the TSX Venture Exchange over a period of 20 consecutive trading days exceeds $0.40, Prospero may, within five days of such event, provide notice (the "Notice") to the holders of the Warrants that the Warrants will expire early, namely on the date which is 30 calendar days after the date of the Notice. Prospero does not anticipating paying any finders' fees or commissions in connection with the Offering.

Certain insiders of the Company may acquire Units under the Offering. Any such participation would constitute a "related party transaction" as defined under Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions ("MI 61-101"). Such participation, however, is exempt from the valuation and minority shareholder approval requirements of MI 61-101 based on the fact that neither the fair market value of the Offering, nor the consideration paid by such persons, exceeds 25% of the Company's market capitalization.

The net proceeds from the Offering will be used by Prospero for exploration expenditures on its Petate project in Mexico and for general working capital purposes. All securities issued in connection with the Offering will be subject to a hold period expiring four months and one day following the closing of the Offering.

This proposed Offering is subject to the acceptance of the TSX Venture Exchange.
