Rainmaker Entertainment Provides Update on Transaction to Combine With Shaftesbury Films Inc. and Proposed Offering of Units


VANCOUVER, BC--(Marketwired - October 14, 2015) - Rainmaker Entertainment Inc. (TSX VENTURE: RNK) ("Rainmaker" or the "Company"), in accordance with Section 5.6(e) of TSX Venture Exchange Policy 5.3, is providing an update on its previously announced combination (the "Transaction") with Shaftesbury Films Inc. ("Shaftesbury"), and related proposed offering (the "Offering") of units of the Company.

Trading in Rainmaker's common shares on the TSX Venture Exchange was halted prior to the announcement of the Transaction and will remain halted until the Transaction is completed or terminated.

Rainmaker and Shaftesbury continue to work to satisfy the conditions to closing of the Transaction, including completion of the Offering. Rainmaker is working with the British Columbia Securities Commission to satisfy comments received on its preliminary prospectus filed September 14, 2015 in respect of the Offering.
