Rockcliff Resources Inc. Reprices $5 Million Private Placement

SUDBURY, ONTARIO--(Marketwire - April 17, 2008) -

Rockcliff Resources Inc. ("Rockcliff" or the "Company") (TSX VENTURE:RCR) wishes to announce that it has repriced the offering announced by press release dated April 7, 2008. The Company will be proceeding with an offering (the "Offering") of up to 6,670,000 flow through common shares ("FT Shares") at a price of $0.60 per FT Share and up to 1,670,000 units ("Units") at a price of $0.60 per Unit for aggregate gross proceeds of up to $5,004,000. Each Unit shall be comprised of one common share and one half of one common share purchase warrant ("Warrant"). Each whole Warrant shall entitle the holder thereof to acquire one common share of the Company at a price of $0.95 for a period of 24 months following the closing of the Offering.

A syndicate of agents led by Dundee Securities Corporation and including Blackmont Capital Corporation and Evergreen Capital Partners Inc. (the "Agents") have agreed to act on a best efforts agency basis with respect to the Offering. The Company has granted the Agents an option, exercisable at any time until the second business day before the closing of the Offering, to purchase up to an additional 1,000,500 FT Shares and an additional 250,500 Units at their respective issue prices for additional proceeds of up to $750,600.

It is expected that insiders of the Company will be subscribing for up to $900,000 of the Offering and may purchase both FT Shares and Units.

The proceeds from the sale of the FT Shares will be used for exploration of Rockcliff's properties and the proceeds from the sale of the Units will be used for general working capital purposes.

The Offering is expected to close, subject to approval from the TSX Venture Exchange, on or about April 30, 2008 or such other date as is agreed to between the Company and the Agents.
