The complaint alleges that Rochester Fund, its manager Oppenheimer Funds,
Inc. and certain officers and directors violated Sections 11, 12(a)(2) and
15 of the Securities Act of 1933 by misleading investors about the risks of
investing in the Fund. The Complaint asserts that the Registration
Statements through which shares of the Fund were sold failed to disclose
certain risks concerning Inverse Floaters in connection with the Fund,
which existed during the Class Period. The Complaint asserts that on
October 21, 2008, the Fund filed a Prospectus Supplement that finally
disclosed the material and relevant risks concerning the Fund's Inverse
Floaters. The Complaint asserts that this adverse disclosure caused the
Fund's shares to fall, damaging investors.
