Rx Processing Corp. Announces Agreement Resolving Past Litigation

WILMINGTON, DE -- (MARKET WIRE) -- May 10, 2006 -- Rx Processing Corporation (OTC: RXPC), a source of low-cost prescription medications and diagnostic laboratory tests for millions of Americans who are under-insured or have no prescription insurance coverage, is actively finalizing a stipulated final judgment to amicably resolve pending litigation filed against George Donnelly and D&M Enterprises in April 2005.

Rx Processing Corp and George Donnelly are prevailing peacefully in negotiating the ending of a suit filed in 2005, contesting previous actions while acting as Chief Operating Officer of Rx processing Corp. Our collective action signals a common message to shareholder's that disagreeing parties can co-exist as allies rather than adversaries in servicing clients in this emerging market. In our on-going mission, RXPC continues to enhance the distribution and sourcing of prescription medications and laboratory testing to all clients.
