WILMINGTON, DE -- (MARKET WIRE) -- May 19, 2006 -- Rx Processing Corporation (OTC: RXPC), a source of low-cost prescription medications and diagnostic laboratory tests for millions of Americans who are under-insured or have no prescription insurance coverage, Board of Directors declares on May 19th 2006 annual stock dividend to be paid on June 20th, 2006 to all shareholders of record as of June 4th 2006.

Rx Processing Corp. shareholders will receive 1 share of Rx Processing Corp. for every 100 shares held. The Board of Directors intends to declare annual cash dividends in the foreseeable future, subject to Rx Processing Corp.'s financial performance.
