Sentinel Rock Oil Inc. and Sundance Energy Corporation Announce Amended Terms of the Private Placement


CALGARY, ALBERTA--(Marketwire - Feb. 15, 2011) -

Sentinel Rock Oil Inc. ("Sentinel Rock") (TSX VENTURE:SNT). Sentinel Rock announces amended terms of the private placement (the "Private Placement") proposed to be completed by Sundance Energy Corporation ("Sundance Energy") in conjunction with its proposed business combination with Sentinel Rock. 

The private placement will now consist of a combination of units ("Units") issued at the price of $0.50 per Unit and common shares ("Flow-Through Shares") issued on a flow-through basis under the provisions of the Income Tax Act (Canada) at the price of $0.55 per Flow-Through Share for maximum and minimum aggregate proceeds of $15 million and $8 million respectively. Each Unit will consist of one common share and one-half of one common share purchase warrant, with each full warrant entitling the holder to purchase one common share during the year following the initial closing of the private placement at the price of $0.75 per share.
