The complaint alleges that during the Class Period defendants Dole and its senior executive officers conducted a fraudulent scheme to acquire the publicly held shares of Dole and sell the Company to Dole's Chairman and CEO, David H. Murdock. The complaint alleges that the Company issued a series of materially false and misleading statements and/or omitted material information regarding the Company's operations and finances, thus artificially lowering the price of Dole's stock so that Murdock could purchase the Company at an artificially depressed price.

On June 10, 2013, Murdock delivered his initial proposal to take Dole private. Then on August 12, 2013, the Board announced a merger agreement by which Murdock would acquire all the outstanding shares of Dole common stock not currently held by him for $13.50 per share. The merger closed on November 1, 2013.
