Shareholders of Portage Approve Amalgamation

TORONTO, ONTARIO--(Marketwired - Sept. 12, 2013) - Portage Minerals Inc. (CNSX:RKX) ("Portage" or the "Company") is pleased to announce that at the Company's annual and special meeting of shareholders held today, the Company's shareholders overwhelmingly approved the proposed amalgamation of the Company with Tri-Star Antimony Canada Inc. ("Tri-Star Antimony"), a wholly-owned subsidiary of Tri-Star Resources plc ("Tri-Star"), pursuant to a three-cornered amalgamation (the "Amalgamation") announced on May 2, 2013.

Under the Amalgamation, Tri-Star will issue 7.159849116794373 ordinary shares in the capital of Tri-Star ("Tri-Star Shares") in exchange for every one Portage share issued and outstanding. Pursuant to the terms of the Amalgamation, Tri-Star Antimony and Portage will be amalgamated and will continue as one company, to be named "Tri-Star Antimony Canada Inc." and will be a wholly owned subsidiary of Tri-Star. It is anticipated that Tri-Star will issue to Portage shareholders approximately 1,086 million Tri-Star Shares. Upon completion of the Amalgamation, Portage shareholders will hold approximately 15.9% of the issued and outstanding Tri-Star Shares.

The Company has requested that its shares be delisted from trading on the Canadian National Stock Exchange immediately following the completion of the Amalgamation.
