Slate Retail REIT Announces Final Allocation of Units in US$36.6 Million (CAD$46.4 Million) Rights Offering


TORONTO, ON--(Marketwired - May 04, 2016) - Slate Retail REIT (TSX: SRT.U)(TSX: SRT.UN) (the "REIT"), an owner of U.S. grocery-anchored real estate, is pleased to announce further details with respect to the final allocation of units under its previously announced Rights Offering.

Further to the REIT's press release dated April 20, 2016 with respect to the results of the Rights Offering, the REIT issued 3,539,175 class U trust units ("Units") on April 25, 2016 or 100% of the Units available under the Rights Offering for gross proceeds of approximately US$36.6 million (CAD$46.4 million). The Rights Offering was 46% over-subscribed and the REIT returned the excess subscription funds of approximately US$16.9 million (CAD$21.4 million) back to subscribers pursuant to the terms of the Rights Offering.

In addition, the REIT is now able to provide the following additional information concerning the allocation of Units pursuant to the Rights Offering:

  • Pursuant to the basic subscription privilege under the Rights Offering (the "Basic Subscription Privilege"), 2,749,499 Units were distributed. Of those Units, to the knowledge of the REIT after reasonable inquiry, 539,743 Units were distributed to persons who were insiders before the completion of the Rights Offering (and no persons became insiders as a result of the completion of the Rights Offering), and 2,209,756 Units were issued to the remaining subscribers under the Basic Subscription Privilege.
  • Pursuant to the additional subscription privilege under the Rights Offering (the "Additional Subscription Privilege"), 789,676 Units were distributed. Of those Units, to the knowledge of the REIT after reasonable inquiry, 165,772 Units were distributed to persons who were insiders before the completion of the Rights Offering (and no persons became insiders as a result of the completion of the Rights Offering), and 623,904 Units were issued to the remaining subscribers under the Additional Subscription Privilege.
  • Slate Asset Management L.P. (together with its principals) received 222,736 Units pursuant to the Basic Subscription Privilege, and 164,375 Units pursuant to the Additional Subscription Privilege, and now holds 2,384,176 Units (including securities exchangeable or convertible into Units), representing approximately 6.73% of the outstanding Units (on a fully-diluted basis assuming the conversion of all outstanding securities exchangeable or convertible into Units).
