Soldi Ventures Inc. Announces Private Placement

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Aug. 4, 2011) - Soldi Ventures Inc. (Soldi) (TSX VENTURE:SOV) announces that the TSX Venture Exchange has accepted the non-brokered private placement announced on July 15th 2011 and increased on July 22nd 2011.

A total of 7,430,000 units were issued as non-flow-through units consisting of one common share and one full warrant for total proceeds of CDN $817,300. One full warrant will entitle the holder to purchase one additional common share of the Company at a price of $0.15 per share for the first year and at a price of $0.20 through to completion of the second year.

Shares, warrants and any shares issued upon exercise of the warrants are subject to a hold period of four months expiring Dec 5th 2011. The proceeds of the private placement will be used for general working capital and exploration.

The following pro groups participated in the private placement;

Pro groups: Kerry Chow 800,000 shares; Roberto Chu 280,000; Judy Chu 55,000; Dallas Fahy 100,000; Murray McInnes 80,000.

Finders' fees: $48,400 cash and 440,000 warrants payable to Haywood Securities Inc.; $10,230 cash and 93,000 warrants payable to Canaccord Genuity Corp.; $7,480 cash and 68,000 warrants payable to Service de Marketing The Ask; $2,750 cash and 25,000 warrants payable to Raymond James Ltd.

Terms of Finders' warrants: One finders' warrant will entitle the holder to purchase one additional common share of the Company at a price of $0.11 per share for a period of 2 years.
