Spectra7 Microsystems Inc. ("Spectra7" or the "Company") (TSX VENTURE:SEV) is pleased to announce that, in connection with the Company's recently closed public offering of 23,333,333 units ("Units") at a price of $0.30 per Unit, the Company has successfully closed the issuance of an additional 3,500,000 Units pursuant to the full exercise of the over-allotment option (the "Over-Allotment Offering") granted to the syndicate of agents (the "Agents") led by Canaccord Genuity Corp. as sole book-running manager and including Global Maxfin Capital Inc., Mackie Research Capital Corporation and PI Financial Corp. as co-managers. The closing of the Over-Allotment Option brings the total aggregate gross proceeds of the public offering to $8,050,000.
Each Unit is comprised of one common share in the capital of the Company ("Common Share") and one common share purchase warrant ("Warrant") with each Warrant entitling the holder to purchase one Common Share at a price of $0.45 until March 28, 2015. The Company has received conditional approval from the TSX Venture Exchange (the "TSX-V") to list the Common Shares and the Warrants on the TSX-V.
In consideration for the services of the Agents in connection with the Over-Allotment Offering, the Company paid a cash commission equal to 6% of the gross proceeds of the Over-Allotment Offering, and issued 280,000 broker warrants ("Broker Warrants"), with each Broker Warrant exercisable by the holder thereof into one Unit at a price of $0.30 until March 28, 2015.
