TERMINATION OF PROPOSED MERGER WITH PACIFIC POTASH CORP

Further to the Company's announcement of 27th August 2013 outlining the
original terms of a potential transaction with Pacific Potash
Corporation ("Pacific Potash") and subsequent announcements in relation
to its proposed merger with Pacific Potash, Cowley announces that it is
terminating discussions with Pacific Potash after, having conducted due
diligence, renegotiated and settled upon amended principal terms of the
transaction with Pacific Potash but having been unable to finalise
negotiations of the definitive merger agreement within a reasonable
timeframe.
