Strathmore Arranges A $6 Million Flow-Through and $4 Million Common Share Financing

Strathmore Minerals Corp. ("the Company") (TSX VENTURE:STM) is pleased to announce that it has entered into an agreement to complete a $6 million flow-through common share and a $4 million common share financing for aggregate proceeds of $10 million, on a best-efforts agency basis, through a syndicate of agents led by National Bank Financial and including Raymond James Securities Inc. and Canaccord Adams. The transaction will be priced in the context of the market. The offering is scheduled to close on or before April 27, 2006 and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals to the transaction.

Gross proceeds from the offering will be used to fund development work on the Company's Athabasca Basin properties, to advance permitting on its U.S. assets and for general corporate purposes.
