MONTREAL, QUEBEC--(Marketwired - Dec. 6, 2013) - Synergy Acquisition Corp. (the "Corporation") (CNSX:QMP) is pleased to announce a non-brokered Private Placement of 1,500,000 units (the "Units") at a price of $0.20 per Unit for gross proceeds of $300,000. Each unit will consist of one common share of the Corporation to be issued as a "flow-through share" and one non flow-through common share purchase warrant (the "Warrant"). Each Warrant is exercisable to acquire one common share of the Corporation that is not a "flow-through share" ("Common Share") at an exercise price of $0.30 per Common Share for a period of 24 months after the date of closing of the transaction.
The Corporation will pay a finder's fee equal to 9% of gross proceeds in cash and will issue 135,000 finder warrants.
Proceeds of the flow-through private placement will be used for Qualifying Canadian Exploration Expenses.
The private placement is subject to regulatory acceptance and approval.
Synergy targets the excellent mineral potential of Quebec to make discoveries of new world-class deposits. Synergy is the ideal partner for exploration companies as well as for capital pool companies looking for qualified transaction projects of merit.
