Titan Medical Inc. (TSX: TMD) (OTCQX: TITXF) Announces the Voting Results From Its Annual and Special Meeting of Shareholders Held on June 9, 2015

TORONTO, ON--(Marketwired - June 10, 2015) - Titan Medical Inc. ("Titan" or the "Company" (TSX: TMD) (OTCQX: TITXF) announces the voting results from its Annual and Special Meeting of shareholders held on June 9, 2015.

All of the five nominees proposed by management for election to the Board of Directors at the meeting and listed in the Company's Management Information Circular dated May 8, 2015 were elected. The Directors will remain in office until the next annual meeting of shareholders, or until their successors are elected or appointed.

The results of the vote on the election of the Board of Directors are as follows:

Additionally, resolutions approving the following additional matters were passed at the Meeting, each by show of hands:

1. appointment of BDO Canada LLP as the auditors of the Company (with 94.90% of the votes cast by proxy on the motion being in favour of the appointment of the auditors),
2. approval of the Company's Stock Option Plan (with 86.66% of the votes cast by proxy on the motion being in favour of the plan),
3. approval of the option grants to members of the Company's Surgeon Advisory Board (with 90.96% of the votes cast by proxy on the motion being in favour of the option grant),
4. approval of an Advance Notice Bylaw (with 92.31% of the votes cast by proxy on the motion being in favour of the bylaw), and
5. approval of the Company's Shareholder Rights Protection Plan (with 93.45% of the votes cast by proxy on the motion being in favour of the plan).
