Titanium Corporation Announces Completion of Private Placement

EDMONTON, ALBERTA--(Marketwire - Dec. 15, 2010) -

Titanium Corporation Inc. ("Titanium" or the "Company") (TSX VENTURE:TIC) is pleased to announce that it has completed a brokered private placement for aggregate gross proceeds of $14,331,000. Under the private placement, the Company issued 7,165,500 units at a price of $2.00 per unit. Each unit consists of one common share of the Company and one half of one common share purchase warrant. Each whole warrant entitles the holder to purchase one additional common share at a price of $2.50 per common share. The warrants expire on June 15, 2012. The Company paid the agents cash commission of $852,060, and issued to the agents a total of 426,030 broker warrants. The broker warrants have the same terms and conditions as the other warrants issued under the offering. 

All securities issued pursuant to the private placement are subject to a four-month hold period from the closing date. The private placement is subject to the final approval of the TSX Venture Exchange.
