TransUnion Announces Offering of $400 Million Senior Secured Notes


CHICAGO, IL--(Marketwire - Oct 23, 2012) - TransUnion Holding Company, Inc. ("TransUnion") today announced that it intends to offer $400 million aggregate principal amount of senior PIK toggle notes due 2018 (the "Notes"). Actual terms of the Notes, including interest rate and redemption provisions, will depend on market conditions at the time of pricing. TransUnion will use the proceeds from the offering to make a one-time dividend or other distribution as a return of capital to its shareholders.

The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and other applicable securities laws.
