relating to an Acquisition Agreement dated June 10, 2005 between
6398651 Canada Inc. (the 'Vendor') and the Company, whereby the
Company can acquire 70% of the Vendors' interest in the Lee property
(64 hectares) located in the Lee Township in Ontario. The Company is
required to make a cash payment of $30,000 and issue a total of
1,000,000 shares to the Vendor.

The Vendor shall retain a 30% participating interest in the property.

The Vendor shall also retain a 3% Net Smelter Royalty, half of which
(1.5%) can be bought back for $1,500,000.
