Property, comprised of 67 mineral claims over an area of

common shares (at a deemed $0.615 per share), and issue a $8,000,000
five-year preferred share to the Vendor. The preferred shares have a
dividend of $50,000 payable in years one and two and equal to 4% of
the issue price thereafter, are non-voting, non-convertible, and can
be retracted by the Company. The preferred share can be retracted in
consideration of $8,000,000 plus any accrued dividends, which can be
settled in cash or common shares (at a price of $0.95 per share). If
the Company wishes to withdraw the Agreement, the preferred shares
are to be cancelled.

In Stage 1, Indicator will earn a 51% interest in the Property. In
Phase 1 of Stage 1, upon signing of the Letter, Indicator will pay

months after signing the Letter, Indicator will be required to incur
$300,000 in exploration expenses and, upon committing to Phase 3,
issue 100,000 common shares. In Phase 3, twelve months after signing
the Letter, Indicator will be required to incur $500,000 in
exploration expenses and, upon committing to Phase 4, issue 100,000
common shares. In Phase 4, eighteen months after signing the Letter,
Indicator will be required to incur $1,200,000 in exploration
expenses and, upon committing to Stage 2, issue 200,000 common
shares.

In Stage 2, Indicator will increase its interest in the Property by
9% (60% total) by making a $20,000 cash payment to Helio, incurring
an additional $2,000,000 in exploration expenses over twelve months
and issuing 250,000 common shares. The 250,000 common shares are to
be issued within 30 days of completing of Stage 2.

In Stage 3, Indicator will increase its interest in the Property by
20% (80% total) by carrying Helio to the conclusion of a bankable
feasibility study and issuing a final 250,000 common shares. If
Indicator elects to pursue this option, the final 250,000 common
shares will be issuable to Helio immediately upon making such
election. Upon Indicator vesting an 80% interest, Helio will have
the option to convert its interest into a 2% over-riding royalty
interest.
