'Agreement'), dated November 18, 2004, between the Company and Sub-
Sahara Resources NL ('Sahara'), an Australian Stock Exchange listed
company, pursuant to which the Company has been granted an option to
acquire up to a 70% interest in certain mining tenements located in
Tanzania (the 'Property'). The Property consists of three main
project areas (the 'Jubilee Reef Project', the 'Mabale Hills
Project' and the 'Nyamirembe Project') that encompass 680 square
kilometres. The Property is an exploration stage mineral resource
property with the targeted resource being gold.

Pursuant to the Agreement, the Company may earn a 20% interest in
the Property by: (i) issuing 4,000,000 common shares to Sahara; and
(ii) incurring US$300,000 in exploration expenditures by September
30, 2005. The Company may earn an additional 20% interest in the
Property (for a total 40% interest) by incurring additional
exploration expenditures of US$1,170,000 by September 30, 2007. The
Company may earn an additional 30% interest (for a total 70%
interest) by issuing shares in its capital equal to the fair market
value of the 30% interest in the Property as determined by an
independent valuator at the time.

Given that the number of shares that may be issued by the Company in
order for it to acquire the final 30% interest (for a total 70%
interest) is not known at this time, the Exchange's acceptance to
the Agreement does not cover any such share issuance. The Company
will be required to seek the Exchange's acceptance of any such share
issuance when and if such share issuance is to be made.

No finder's fee is payable in respect of the transaction.
