1. Plan of Arrangement - Merger and Acquisition:

Pursuant to special resolutions passed by the shareholders of each
of American Bonanza Gold Mining Corp. ('Old Bonanza') and
International Taurus Resources Inc. ('International Taurus') on
March 24, 2005, Old Bonanza and International Taurus have completed
a Plan of Arrangement under section 288 of the Business
Corporations Act (British Columbia). The final court order
approving the Plan of Arrangement was issued by the Supreme Court
of British Columbia on March 29, 2005. The Plan of Arrangement and
all transactions involved therewith were completed and given effect
on March 30, 2005.

The Plan of Arrangement, which is fully described in the companies'
Joint Information Circular, dated February 23, 2005, effectively
involves the combination of the businesses of Old Bonanza and
International Taurus (the 'Merger'). Pursuant to the Plan of
Arrangement, American Bonanza Gold Corp. ('New Bonanza'), which
until completion of the Plan of Arrangement was a wholly-owned
subsidiary of Old Bonanza, completed a share exchange with the
shareholders of each of Old Bonanza and International Taurus which
resulted in each of Old Bonanza and International Taurus becoming a
wholly-owned subsidiary of New Bonanza. Each Old Bonanza
shareholder received one (1) common share of New Bonanza in
exchange for every four (4) common shares of Old Bonanza they held.
Each International Taurus shareholder received one (1) common share
of New Bonanza in exchange for every five (5) common shares of
International Taurus they held.

In addition to the Merger, the Plan of Arrangement involved New
Bonanza's acquisition of all of the issued and outstanding share
capital of 0710882 B.C. Ltd. ('FairstarSub') from Fairstar
Explorations Inc. ('Fairstar') in exchange for $300,000 and
6,500,000 common shares of New Bonanza (the 'Acquisition'). Prior
to the completion of the Acquisition, FairstarSub was a wholly-
owned subsidiary of Fairstar. FairstarSub's principal assets are
its interests in certain Quebec based mineral exploration
properties known as the 'Fenelon Project' and the 'Casa Berardi
Properties'. Upon completion of the Acquisition, New Bonanza holds
a 100% interest in such properties.

Post - Arrangement:

Capitalization: An unlimited number of common shares with no
par value of which 74,330,926 common shares
are issued and outstanding

Transfer Agent: Computershare Trust Company of Canada

2. Graduation to Toronto Stock Exchange:

As a result of the Merger, the common shares of each of Old Bonanza
and International Taurus will be delisted from TSX Venture Exchange
effective at market close on March 30, 2005. The common shares of
New Bonanza will be listed on TSX Venture Exchange in conjunction
with the delisting of Old Bonanza and International Taurus,
however, TSX Venture Exchange has been advised that New Bonanza's
common shares will be listed and commence trading on Toronto Stock
Exchange at the opening on March 31, 2005, under the symbol 'BZA'.

As a result of this Graduation, there will be no further trading
under the symbol 'BZA' on TSX Venture Exchange after market close
on March 30, 2005, and New Bonanza's shares will be delisted from
TSX Venture Exchange at the commencement of trading on Toronto
Stock Exchange.

The Company will issue 5,000,000 share purchase warrants that are

period expiring on or about March 7, 2007. These warrants will be
delivered to the placees on the basis of one warrant for each $0.44
advanced in accordance with each drawdown of funds. The Company
will pay a commitment fee of $250,000 on the drawdown of the WCD
and a commitment fee of $100,000 on the drawdown of the COD. Also,
the Company will pay an Annual Fee of 6% on the then outstanding
value of the WCD and 12% on the then outstanding value of the COD.

Under the terms of the agreement, the Company has agreed to issue
227,273 common shares and assume a $202,565 debt owed by the
Vendor. Furthermore, an additional $325,000 payable in shares may

TSX Venture Exchange has accepted for Expedited filing
documentation of a Lease Agreement dated January 21, 2005 between
the Issuer and Peter Garibaldi (the 'Lessor') whereby the Issuer
has leased three mines (the Eureka Mines) consisting of 105 acres
of land adjacent to the Issuer's 535 acre block of mining claims 45
miles southeast of Sacramento, California.

The primary lease term is 30 years, broken down into 10-year
segments and carries a minimum annual payment (US$2,400 for each of
years one to ten, rising 10-year segment to US$6,000 each year in
the third segment). The Issuer and the Lessor have agreed that the
first payment will be in the Issuer's common shares (12,000 common
shares). The Issuer also has the right to a renewal term for an
additional 10 years following the primary term.

The Lessor will retain a 4% gross royalty.
