Unitech Energy Completes Final Tranche of Private Placement and Proposes Additional Financing

CALGARY, ALBERTA--(Marketwire - July 13, 2011) -

Unitech Energy Resources Inc. ("Unitech" or the "Company") (TSX VENTURE:URX) has completed the final tranche of the private placement of units (each, a "Unit") announced on May 11, 2011. Under this tranche, Unitech issued 19,456,000 Units at a price $0.05 per Unit for gross proceeds of $972,800. Each Unit is comprised of one common share in the capital of the Company (a "Common Share") and one common share purchase warrant (a "Warrant"). Each Warrant entitles the holder to purchase one Common Share at any time within two years of the date of issuance at a price of $0.10 per Common Share. The shareholders of the Company recently approved a consolidation of the Company's Common Shares on the basis of 10 old for 1 new. Provided that the Company effects such a consolidation of its Common Shares at any time within 12 months of closing of the private placement, the exercise price of the Warrants will be reduced to $0.075 per Common Share (pre-consolidation).

In connection with the completion of this tranche of the private placement, Unitech paid aggregate cash finder's fees in the amount of $53,504 and issued an aggregate of 1,337,600 warrants to eligible finders who introduced subscribers to the private placement. Each such warrant was issued to finders on the same terms as the Warrants comprising the Units. All of the securities issued under the private placement are subject to a four month resale restriction.

In aggregate, Unitech issued 129,844,300 Units under the private placement at a price $0.05 per Unit for gross proceeds of $6,492,215.

The Company also announces that it proposes to raise an additional $1,500,000 (30,000,000 Units) on the same terms as the private placement announced on May 11, 2011 and has applied to the TSX Venture Exchange for conditional acceptance of the new financing.
