Uranium Participation Corporation Announces $90 Million Bought Deal Financing

TORONTO, ONTARIO--(Marketwire - May 6, 2009) -

Uranium Participation Corporation (TSX:U) (the "Company or Uranium Participation Corp.") has today entered into an agreement with Cormark Securities Inc. on behalf of a syndicate of underwriters which also includes Dundee Securities Corporation, Scotia Capital Inc., CIBC World Markets Inc., National Bank Financial Inc., RBC Dominion Securities Inc., GMP Securities LP., Raymond James Ltd., and Salman Partners Inc. (the "Underwriters") pursuant to which the Underwriters have agreed to buy and sell to the public 11,625,000 common shares of the Company at a price of $7.75 per common share, representing an aggregate amount of issue of approximately $90 million (the "Offering"). Closing is expected on or about May 28, 2009 and is subject to regulatory approval including that of the Toronto Stock Exchange.

The Underwriters also have an option to purchase up to an additional 1,743,750 common shares at the issue price to cover over-allotments for a period of 30 days after the date of Closing.

The Common Shares to be issued under this offering will be offered by way of a short form prospectus in all provinces in Canada except Quebec and in the United States on a private placement basis pursuant to an exemption from the registration requirements of the United States Securities Act of 1933, as amended, and such other jurisdictions as may be agreed upon by the Company and the underwriting syndicate.

The net proceeds of the Offering will be used to fund the purchase of U3O8 and/or UF6 under contract.
