About the Lawsuit

ValueClick and certain of its executives are charged with issuing a series of materially false and misleading statements about the Company's business and prospects during the Class Period, violating federal securities laws.

These false statements and omissions included, in part, that: (i) ValueClick was not effectively integrating certain of its acquisitions; (ii) ValueClick had failed to adequately record impairment of a note receivable; and (iii) persistent operational weakness in ValueClick's European operations and sales were weighing down revenue growth.
