Videotron Ltee Plans to Offer Approximately US$175 Million of Senior Unsecured Notes

MONTREAL, QUEBEC--(CCNMatthews - Sept. 8, 2005) - Videotron Ltee announced today that it intends to offer, on a private placement basis, approximately US$175 million aggregate principal amount of Senior Notes (unsecured) due December 15, 2015. The net proceeds from the sale of the new Senior Notes will be used to repay in full all of Videotron's outstanding indebtedness under its secured credit facilities, to pay a dividend to Quebecor Media, and the balance, if any, will be applied to general corporate purposes.

These new Senior Notes have not been and will not be registered under the United States Securities Act of 1933, as amended, or the U.S. Securities Act, and may not be offered or sold within the United States except pursuant to a registration statement or pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the U.S. Securities Act.
