Vision Digital Completes Acquisition of Clinicares

The Anti-Aging, Cosmeceutical & Beauty Aid Company

LOS ANGELES, CA -- (MARKET WIRE) -- April 16, 2007 -- Vision Digital Multimedia Corporation announced today that it has completed the acquisition of Clinicares Co. Ltd. and has changed its name to Clinicares, Inc. (PINKSHEETS: CCRC). The stock trading symbol is CCRC.

Through the acquisition of Clinicares Co. Ltd., VDGM is a Biotech Development Stage Company involved in R&D, Manufacturing, Distribution and Marketing of its proprietary products in the anti-aging, cosmeceutical, and beauty aid fields with both branded and private label activities.

The company's primary focus and product line is Clinicares Treatment Solutions, or "CTS" which includes the clinically proven peptide-based products and Microneedle-Roller consumer product, called Clinicares Roller. The perfect combination of these product lines is aimed at replacing dermabrasion, chemical and laser resurfacing as a new drug delivery system with the microneedle-roller for clinical and consumer use.

CTS is marketed directly to physicians and to consumers via direct marketing globally. It has already enjoyed success on home shopping networks globally and is recognized by numerous cosmetic surgeons as a breakthrough in the industry.

"We are excited about moving forward as a public company and expect to file all requisite reports to become fully reporting in the first quarter of this year," said Clinicares President Halen Bach.

About the Clinicares Roller and Peptide Product line:

With the conventional application of creams, gels or lotions only a fraction, like less than 0.5%, of their active substances can penetrate the epidermal barrier; 99.5% are lost. The upper skin layer, epidermis, consists of several layers, and their structure is like a brick wall. The Clinicares Roller, studded with nearly 200 extremely fine needles of medical grade stainless steel with a tip length of 0.2mm, is the latest revolutionary cosmeceutical tool incorporated in skin care treatments. When applied to the surface of the skin, it creates deep micro channels in the layer of dead cells that normally protects the skin. These enable the active ingredients of peptide-based products to penetrate more deeply and in greater quantities than simply applying the preparation to the surface.

The "Soft" Alternative for all Common Laser & Peeling-Methods:

CTS (Clinicares Treatment Solutions) is a procedure which stimulates the skin to produce new collagen formation, thereby reducing wrinkles and improving skin texture. The Clinicares Roller is used to produce many microscopic channels in the skin, which stimulate your own body to produce new collagen. These channels also improve the penetration of the highest concentration of peptides, vitamin creams, or any other liposomal serums about 1000 times. Clinicares' peptide products, especially formulated to work with Clinicares Roller, stimulate skin renewal, thereby making the skin appear fresher and younger and dramatically reducing fine lines and wrinkles. CTS is different than artificial injected collagen, as the effects of collagen induction activities are long-lasting.
