Viterra Announces Application to Cease to Be a Reporting Issuer in Canada


REGINA, SASKATCHEWAN--(Marketwired - March 21, 2016) - Viterra Inc. (Viterra) announced today that it has applied to the securities regulatory authorities in each of British Columbia, Alberta, Saskatchewan, Manitoba, Ontario, Quebec, New Brunswick, Nova Scotia, Prince Edward Island and Newfoundland and Labrador for a decision deeming it to have ceased to be a reporting issuer in such jurisdictions. Viterra has one series of debt securities outstanding, being US$400 million aggregate principal amount of 5.95% unsecured notes due in August 2020, which are fully and unconditionally guaranteed by Glencore plc (Glencore) and Glencore International AG.

As announced in a news release on June 6, 2014, Viterra previously obtained relief from the Financial and Consumer Affairs Authority of Saskatchewan and the Ontario Securities Commission permitting Viterra to satisfy its Canadian public disclosure requirements by filing on the System for Electronic Document Analysis and Retrieval (SEDAR) Glencore's consolidated financial statements, among other of Glencore's UK public disclosure requirements, rather than Viterra's consolidated financial statements. If the requested decision is granted by the securities regulatory authorities, Viterra will cease to be a reporting issuer in any jurisdiction of Canada and, as a result, will no longer be required to file financial statements and other continuous disclosure documents of itself, Glencore or any other entity with any Canadian securities regulatory authority.
