Viterra Considering Note Offering

CALGARY, ALBERTA--(Marketwire - June 22, 2009) -


Viterra Inc. (TSX:VT) today confirmed that it is seeking expressions of interest from the fixed income market with respect to the potential issuance of up to $300 million in Senior Notes. Should the offering proceed, it would be completed through private placements to exempt purchasers. The notes would rank pari passu with all of Viterra's existing and future secured indebtedness other than its revolving credit facility.

Proceeds will be used for general corporate purposes.

The notes have not and will not be registered under the United States Securities Act of 1933, as amended (the "1933 Act") and may not be offered or sold in the United States or to U.S. persons (as defined in Regulation S under the 1933 Act) unless the notes have been registered under the 1933 Act, or are otherwise exempt from such registration.
