Working Opportunity Fund Announces Proposed Changes to RRSP Fees-GrowthWorks Capital Ltd.

VANCOUVER, BRITISH COLUMBIA--(CCNMatthews - March 30, 2006) - The Working Opportunity Fund (EVCC) Ltd. (WOF) managed by GrowthWorks Capital Ltd., announced today that it is proposing changes to RRSP fees charged to shareholders and that its Board of Directors has approved an amended and restated management agreement and a change in principal distributor for the Fund.

Since its inception, the Fund has charged RRSP fees to its shareholders for the setup of new accounts, non WOF RRSP purchases and trustee administration for WOF RRSPs. The current industry practice is to account for these fees within the overall management or administration fee paid by the Fund to its manager.

Based on this industry practice, and in order to make it easier for WOF shareholders to compare their management expense ratio to that of other competitive funds, a special committee of the Board of Directors has recommended replacing the RRSP fees with a tiered increase to the management fees paid by holders of Series 1 Class A shares of WOF and the administration fees paid by holders of Series 2 Class A shares of WOF. The special committee also concluded that the tiered structure would not result in a significant financial benefit to the Manager based upon historical RRSP fees paid. This proposed change in RRSP fees will be voted on by shareholders at the Annual General Meeting on June 22, 2006.

As part of a corporate restructuring of GrowthWorks Capital Ltd., the manager of WOF, the Board of Directors of the Fund has agreed to amend and restate the Management Agreement so that the Manager can engage affiliates and, with consent of the Fund, other entities to provide some or all of the services provided to WOF under the Management Agreement.

Effective March 31, 2006, Blackmont Capital Inc. of Vancouver, British Columbia will replace United Capital Securities Inc. as a principal distributor for WOF. Blackmont Capital Inc. is a member of the Investment Dealers Association of Canada. Canaccord Capital Corporation and Dundee Securities Corporation remain as principal distributors of WOF.
