Xynergy Files Form 15 to Deregister Its Stock With Securities & Exchange Commission

AVENTURA, FL -- (MARKET WIRE) -- January 22, 2007 -- Xynergy Corporation (PINKSHEETS: XYNC) announced today that it has filed a Form 15 with the Securities and Exchange Commission to terminate the registration of the Company's stock and suspend its reporting obligations under the Securities Exchange Act of 1934. Having fewer than 300 shareholders of record, Xynergy is eligible for this deregistration. Though the Company has been trading on the OTC Pink Sheets since 2004, upon filing the Form 15, the Company's common stock will no longer be eligible for quotation on the NASDAQ Smallcap market. As such, the common stock will continue to trade on the Pink Sheets as usual.

Deregistration should become effective within 90 days of this filing. As of January 22, 2007, the Company's obligation to file reports under the Securities Exchange Act of 1934, including Forms 10-K, 10-Q and 8-K, is suspended.

Xynergy's Board of Directors concluded that deregistration will be of great benefit to the Company and its shareholders. Deregistration clears the road for Xynergy management to concentrate on executing its business plan, which will ultimately maximize shareholder value.
