ZoomMed and the Acquisition of Praxis Sante

MONTREAL, QUEBEC--(Marketwire - Jan. 21, 2011) - ZoomMed Inc. (TSX VENTURE:ZMD). In the scope of the completion of the conditional exclusive agreement to acquire Praxis Santé, ZoomMed announces it has received the waiver of some conditions and thus expecting the completion of the transaction before the end of the current trimester.

Accordingly, a portion of the aggregate counterpart payable for the acquisition by the Corporation will be made through the issuance of a maximum of 3,500,000 common shares of ZoomMed at a deemed price of $0.20 per common share with another part of the counterpart being paid in cash. It should be noted that this acquisition would enable ZoomMed to diversify and consolidate its position in the Canadian Healthcare network, concurrently to its recent announcement regarding the launching and penetration of the important American Market. The marketing of Praxis Santé's products is foreseen shortly. ZoomMed will see to update the market when the transaction will reach a more advanced stage.
