ZoomMed Announces its Intention to Proceed With a Private Placement of $2.5 Million

MONTREAL, QUEBEC--(Marketwire - Feb. 3, 2011) - ZoomMed Inc. (TSX VENTURE:ZMD) announces that it has taken the steps in order to conclude a brokered private placement of units, at a subscription price of $0.155 per unit, for a maximum amount of $2,500,000 (the "Units") with investors, subject to the approval of the TSX Venture Exchange and others regulatory authorities. The broker appointed for this private placement is Avenue Capital Markets Inc.

Each Unit consists of one common share of ZoomMed Inc. ("Common Share") and one half- warrant. Each whole warrant entitles the holder thereof to purchase one Common Share at an exercise price of $0.155 for a period of 24 months from the date of the closing of the financing. All of the Common Shares and warrants that may be issued are subject to a mandatory holding period of 4 months and 1 day from the date of the closing of the financing.
